Jeffrey Rubenstein, an accomplished business lawyer with over 30 years of experience in tax, corporate and real estate matters, represents a variety of firms in the venture and middle markets. They comprise a broad array of businesses, among them public and private manufacturing, investment banking and financial services, health care, real estate and technology.

Jeffrey helps clients develop, form and create new businesses and ventures, including tax and financial structures. He has supported the growth of these entities by assisting in capital formation through private placements and public offerings, as well as advising clients in mergers and acquisitions. He has planned and developed successful programs for business and technology venture and real estate investments. Jeffrey's relationship with investment bankers, venture capital funds and private investment capital has facilitated many successful business enterprises.

Before joining the firm in 1991, Jeffrey was a name principal with the Chicago firm of Sachnoff, Weaver & Rubenstein, Ltd.

Jeffrey is admitted to practice in Illinois.

Profession

Jeffrey has been an Adjunct Professor of Law at Chicago-Kent College of Law since 1977 and has taught Advanced Taxation of Business Transactions, Partnership Taxation and Negotiations. In 2009, the Law School selected Jeffrey as the Adjunct Faculty Member of the Year. He has been a regular speaker, moderator and writer/author on taxation, real estate and securities topics at professional, academic and industry programs sponsored by such entities as the University of Pennsylvania's Wharton School of Business, Northwestern University's Kellogg School of Business, University of Michigan Ross Graduate School of Business, Illinois Institute for Continuing Legal Education, Indiana Bar Association, Illinois and Indiana CPA Societies, The University of California and California State Bar Association, American Bar Association, Pricewaterhouse Coopers, LLP, Deloitte & Touche, Ernst & Young, McGladrey & Pullen, Practicing Law Institute, National Association of Realtors and the Real Estate Investment Association.

Jeffrey is the lead co-author of a three-volume treatise titled Limited Liability Companies — Law, Practice & Forms, published by West Publishing. He is also co-author of Partnership Income Tax, a publication of the CCH Federal Tax Service. He is co-author of a chapter on mergers and acquisitions for the eBook, Corporate Law Lessons for CEOs. Jeffrey served as Editor-in-Chief of the Journal of Real Estate Securities. He has authored and edited numerous journal articles in the fields of taxation, real estate and corporate law.

Jeffrey has been an active member of the American Bar Association (Committee on Federal Taxation); and he serves as Chairman of the National Real Estate Investment Association’s Committee on Taxation.  Jeffrey is also a member of the board of directors of "Truth in Accounting," the nonpartisan, non-profit organization that monitors accounting and financial reporting processes of the federal, state and municipal governments.

Jeffrey has been recognized by the Leading Lawyers Network as a top Illinois lawyer in the areas of closely and privately held business law, mergers and acquisitions, and business tax law (2003-2014). He also sits on the advisory board for the Leading Lawyers Network. In multiple years, he was designated an Illinois Super Lawyer and Tax Lawyer, honors given to the top 5% of attorneys in the State. Jeffrey has been an active member on the board of directors of several public corporations, as well as many private corporations.

Community

Jeffrey has been a leader in civic and charitable causes for many years. He continues to serve on the board of directors of the Joffrey Ballet of Chicago, having done so since its inception in Chicago. He also has been a member of the international board of directors of the Hebrew Immigrant Aid Society and Chairman of its Young Leadership and Scholarship committees. Jeffrey is also a member of the Real Estate Investment Association Board of Directors. He is President of the George and Sarah Ohlhausen Charitable Foundation.

Jeffrey is a past member of the board of directors of the Jewish United Fund/Jewish Federation of Metropolitan Chicago, and presently serves on various JUF committees (including the Finance Committee and its Subcommittee, which is responsible for  investments of its Endowment). He is a past member of the United Jewish Appeal National Young Leadership Cabinet. Jeffrey also served as an officer and director of the Jewish Family and Community Services, the Council on Jewish Workplace Issues and several other civic and charitable organizations.

For his public service to the community, the United States Jaycees selected Jeffrey as one of the Outstanding Young Men of America. His charitable efforts earned him the Jewish United Fund's Young Leadership Award; and the Jewish Family and Community Service's Sidney J. Berkowitz Leadership Award. He is also the recpient of the Tel Aviv Museum of Art "Patron of the Arts" Award.
